LucidXpress Subscription Terms

Effective date: July 1, 2026

These terms govern the subscription plans offered by LucidXpress LLC ("LucidXpress," "we," "us," "our"). By subscribing to a plan through our Stripe checkout, you ("Client," "you," "your") agree to the terms below. If you do not agree, do not complete the subscription. The person subscribing represents that they have authority to bind the business named on the account.

1. Plans & Services

LucidXpress offers three monthly subscription plans:

• Starter — $299/mo. Custom website build, hosting and maintenance, basic on-page SEO, monthly updates and edits, and async support.

  
  

• Growth Partner — $497/mo. Everything in Starter, plus a multi-page site, ongoing SEO (2–3 optimized pages per month), priority updates, and a monthly performance check-in.

  
  

• Partner — $997/mo. Everything in Growth, plus aggressive SEO (4–5 optimized pages per month), an SEO strategy and keyword roadmap, a monthly strategy call, and priority turnaround.

The specific deliverables for your plan are the ones listed on your plan's checkout page at the time you subscribe.

2. Payment & Billing

Your subscription is billed monthly in advance through Stripe, on the same date each month, using the payment method on file. If a payment fails, you have a 7-day grace period to resolve it; after that, active work and services may be paused until payment is current. All fees are exclusive of any applicable taxes.

3. Automatic Renewal

Your subscription renews automatically each month. Your payment method will be charged the then-current plan fee on each billing date until you cancel. By subscribing, you authorize these recurring charges. You may cancel at any time as described below.

4. Term & Cancellation

Plans are month-to-month. Either party may cancel with 14 days' written notice before the next billing date. Cancellation stops future billing; fees already paid for the current period are non-refundable, and services continue through the end of that paid period. On cancellation, we will provide reasonable offboarding assistance to hand off your site and account access.

5. Managing Your Subscription

You can manage your subscription at any time through our self-service billing portal, accessible from the main navigation of our website and via the link in your billing confirmation email. Through the portal you may update your payment method, upgrade or downgrade your plan, and cancel your subscription. Because you signed up online, you can also cancel online — you are never required to call or email to cancel, though we are always happy to help if you would like assistance.

6. Requests & Turnaround

We acknowledge in-scope requests within 1 business day and aim to complete standard edits within 48 hours. Larger or out-of-scope requests are quoted separately before any work begins. Turnaround assumes we have received everything needed from you (content, credentials, approvals).

7. Scope & Out of Scope

Your plan covers ongoing updates, edits, and the SEO deliverables listed for your tier. The following are out of scope and quoted separately: net-new page builds beyond your plan's monthly allowance, copywriting, brand or logo design, paid advertising management and ad spend, third-party software costs, and full redesigns. Where advertising is added, ad spend is billed directly to you by the ad platform and is never advanced or covered by LucidXpress.

8. Client Responsibilities

You agree to provide timely feedback and approvals, supply necessary account credentials and access, and ensure any content, images, or materials you provide are licensed or owned by you. Delays in providing these may affect turnaround times.

9. No Guarantee of Results

LucidXpress provides web design, development, and SEO services on a best-efforts basis. Search engine rankings, traffic, lead volume, conversion rates, and revenue depend on factors outside our control — including search engine algorithms, competitor activity, market conditions, and your own business operations. We do not guarantee any specific ranking, traffic level, or business outcome, and any examples, benchmarks, or estimates we share are illustrative, not promises. Search engines and third-party platforms may change their algorithms or policies at any time, and such changes are not a breach of these terms.

10. Disclaimer of Warranties

Except as expressly stated in these terms, all services and deliverables are provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that services will be uninterrupted, error-free, or free from all security vulnerabilities.

11. Third-Party Services

Your website and services rely on third-party providers (hosting, domain registrars, plugins, themes, analytics, payment processors, ad platforms, and similar). We are not responsible for the availability, performance, security, pricing, or policy changes of any third-party service, and any resulting downtime, data loss, or added cost is not our liability. Third-party fees (hosting overages, premium plugins, domains, ad spend) are your responsibility unless expressly included in your plan.

12. Confidentiality

Each party will keep the other's non-public business information confidential and use it only to perform under these terms.

13. Intellectual Property

On full payment for the applicable period, you own the final website and content we deliver for you. LucidXpress retains ownership of any underlying tools, templates, or reusable code used to build it, and may reference the work in its portfolio unless you request otherwise in writing.

14. Limitation of Liability

To the extent permitted by law, LucidXpress's total liability under these terms is limited to the fees paid in the three months preceding the claim. We are not liable for indirect or consequential damages, or for outages or issues caused by third-party services (hosting, domain registrars, plugins, ad platforms, etc.).

15. Indemnification

You agree to defend, indemnify, and hold harmless LucidXpress and its owner from any claims, damages, or costs (including reasonable attorneys' fees) arising from: (a) content, images, text, trademarks, or materials you provide; (b) your products, services, or business operations; (c) your violation of any law or third-party right; or (d) your breach of these terms. You represent that you own or are licensed to use everything you provide to us.

16. Chargebacks

If you dispute a charge, contact us first so we can resolve it directly. Initiating a chargeback or payment dispute for services rendered — rather than working with us — is a breach of these terms and may result in immediate suspension of services and collection of any amounts owed, including associated fees.

17. Force Majeure

We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including natural disasters, outages, third-party service failures, illness, or government action.

18. Changes to These Terms

We may update these terms from time to time. Material changes will be communicated to active subscribers, and continued use of the service after a change constitutes acceptance. The "Effective date" above reflects the most recent revision.

19. General Provisions

• Entire agreement. These terms, together with your selected plan at checkout, are the entire agreement between you and LucidXpress and supersede all prior discussions or representations.

  
  

• Independent contractor. LucidXpress is an independent contractor. Nothing in these terms creates an employment, partnership, joint venture, or agency relationship.

  
  

• Governing law. These terms are governed by the laws of the State of Ohio, without regard to conflict-of-law rules. Any dispute will be brought exclusively in the state or federal courts located in Hamilton County, Ohio.

  
  

• Informal resolution first. Before filing any claim, both parties agree to attempt to resolve the dispute in good faith by direct communication for at least 30 days.

  
  

• No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.

  
  

• Severability. If any provision is found unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions stay in full effect.

  
  

• Assignment. You may not assign or transfer these terms without our written consent. We may assign them in connection with a sale or transfer of the business.

  
  

• Electronic acceptance. By completing checkout, you agree these terms are enforceable electronic records.
